Terms of Service

These Terms of Service govern your use of statefulroboticshq.com and the Stateful Robotics fleet orchestration platform (together, the "Service") operated by Stateful Robotics Ltd ("the Company," "we," "us," or "our"). By using the Service you accept these Terms. If you are accepting on behalf of a business, you represent that you have authority to bind that business.
Nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer-protection law.
1. Agreement
These Terms govern your use of statefulroboticshq.com (the "Service") operated by Stateful Robotics Ltd (1 Victoria Street, Floor 4, Bristol, BS1 4XE, United Kingdom). By using the Service you accept these Terms.
Nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer-protection law.
2. Use of the Service
The Stateful Robotics platform is a task orchestration layer designed for warehouse operators and third-party logistics providers. Permitted use includes connecting your WMS, submitting ops requests, querying task graph state, and receiving replan events. Prohibited use includes:
- You must be at least 18 years old or have parental consent.
- You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to orchestration infrastructure or other customers' fleet data.
- You may not copy, scrape, or reverse-engineer the Service except as permitted by law.
- You may not use the Service to issue commands to robot fleets in a manner that overrides on-device safety systems or creates unsafe operating conditions.
3. Intellectual Property
The Service, including the task compilation engine, replanning logic, state management components, and API, is owned by Stateful Robotics Ltd or its licensors and is protected by UK and international intellectual-property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose as described in your pilot agreement. All rights not expressly granted are reserved.
4. Operator Data and Content
You are responsible for any data, credentials, or configuration you submit to the platform, including WMS credentials, robot fleet API tokens, and warehouse layout information. You grant the Company a limited licence to process this data solely to provide the orchestration service. We do not use your fleet telemetry or operational data to train machine learning models without your explicit written consent. You retain all ownership of your operational data.
5. Right to Cancel (Consumer Contracts Regulations 2013)
Where you enter into a paid distance contract with us as a consumer, you have a 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Email [email protected] with a clear cancellation statement; we will refund within 14 days.
6. Disclaimers and Statutory Rights
The Service is provided "as is." The orchestration platform is designed as an advisory and coordination layer and does not replace on-device robot safety systems. Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under English law. Consumer statutory rights (including Consumer Rights Act 2015 satisfactory-quality and reasonable-care-and-skill standards where applicable) are not affected.
7. Limitation of Liability
To the extent permitted by law, the Company's total liability for any claim arising from or related to the Service will not exceed GBP 100 (or, where a pilot agreement specifies a higher cap, the amount stated in that agreement), except for liability that cannot be limited under mandatory law.
8. Termination
The Company may suspend or terminate access for breach of these Terms. Pilot access may also be terminated in accordance with the applicable pilot agreement. Sections that by their nature should survive termination, including sections 3, 4, 6, 7, and 9, will survive.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of Bristol, United Kingdom have exclusive jurisdiction over any dispute arising from these Terms or use of the Service, subject to your right as a consumer to bring proceedings before the courts of your place of residence in the United Kingdom.
10. Changes
The Company may update these Terms. Material changes will be posted with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
